Terms of Service

1. Acceptance of Terms

By accessing or using NovaDream.io ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. You must explicitly accept these Terms by checking the consent checkbox during account registration. Your continued use of the Service constitutes ongoing acceptance of the most current version of these Terms.

2. Description of Service

NovaDream is an Instagram DM automation platform that allows Instagram business account holders to manage, automate, and respond to direct messages using customizable auto-reply rules and an AI-powered Agent. The Service operates exclusively via Meta's official Instagram Graph API and Conversational API. The Service includes features for automated message responses, AI-generated replies, keyword-based auto-reply rules, comment reply automation, business hours scheduling, and message analytics.

3. Third-Party Services and Platform Compliance

Our Service integrates with third-party platforms via their official APIs. By using the Service, you acknowledge and agree that you are also bound by the following:

  • ◆Meta (Instagram): Your use of the Service is subject to Meta's Platform Terms and Instagram's Terms of Use. You must comply with Meta's policies regarding automated messaging, including the 24-hour messaging window for automated responses and all applicable rate limits.
  • ◆OpenAI: Our AI Agent feature uses OpenAI's API to generate automated responses. By enabling the AI Agent, you acknowledge that your business information and message content will be processed by OpenAI in accordance with their API terms.
  • ◆PayPal: Subscription payments are processed by PayPal. Your payment transactions are subject to PayPal's User Agreement.

4. User Accounts and Security

You must authenticate via Instagram OAuth using an Instagram business or professional account that you own or are authorized to manage. You are responsible for all activities that occur through your connected account. You must notify us immediately of any unauthorized access. You must not share your session or allow third parties to access the Service through your account.

5. User Obligations for Automated Messaging

As a user of an automated messaging platform, you bear specific responsibilities:

  • ◆ You must only send automated messages to individuals who have initiated contact with your Instagram business account. Sending unsolicited automated messages is strictly prohibited.
  • ◆ You must ensure that any automated messaging complies with all applicable laws in your jurisdiction, including but not limited to anti-spam legislation (CAN-SPAM, CASL), the Telephone Consumer Protection Act (TCPA), and the EU ePrivacy Directive.
  • ◆ You must include a mechanism for message recipients to opt out of automated responses (e.g., escalation to a human agent) in your auto-reply configuration.
  • ◆ You must maintain a privacy notice on your Instagram profile or linked website disclosing that direct messages may be processed by AI systems and automated tools.
  • ◆ You must comply with Meta's Platform Terms at all times, including rate limits and messaging window restrictions.
  • ◆ You are solely responsible for the content of automated messages sent from your account, whether generated by auto-reply rules or the AI Agent.

6. AI-Generated Content

If you enable the AI Agent feature, you acknowledge and agree to the following:

  • ◆ AI-generated responses may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing and monitoring AI outputs sent from your account.
  • ◆ We do not warrant that AI-generated content is free from errors, copyright infringement, trademark infringement, or third-party intellectual property violations.
  • ◆ You bear full responsibility for ensuring that AI-generated messages comply with all applicable laws in your jurisdiction.
  • ◆ Certain jurisdictions require disclosure that a message was generated by AI. You are responsible for complying with such disclosure requirements in your jurisdiction.
  • ◆ We reserve the right to modify, limit, or discontinue the AI Agent feature at any time without prior notice.

7. User Data and Privacy

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy. By using the Service, you consent to such processing and you warrant that all data provided by you is accurate.

8. Prohibited Uses

You agree not to use the Service for any of the following:

  • ◆ Sending unsolicited, cold-outreach, or spam messages via automated DMs.
  • ◆ Circumventing Instagram's rate limits, messaging windows, or other platform restrictions.
  • ◆ Sending automated messages to users who have not initiated contact or explicitly opted in.
  • ◆ Using the platform for phishing, harassment, impersonation, or deceptive trade practices.
  • ◆ Distributing malware, illegal content, or content that violates third-party rights.
  • ◆ Sharing, reselling, or sublicensing API access or Service functionality to third parties.
  • ◆ Using the AI Agent to generate content that is intentionally misleading, manipulative, or harmful.
  • ◆ Attempting to extract, reverse-engineer, or circumvent any security measures of the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVADREAM.IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE EXPRESSLY DISCLAIM LIABILITY FOR: (A) AI-GENERATED CONTENT CAUSING HARM TO THIRD PARTIES; (B) INSTAGRAM ACCOUNT SUSPENSIONS, BANS, OR RESTRICTIONS RESULTING FROM YOUR USE OF THE SERVICE; (C) COMPLAINTS FROM RECIPIENTS OF AUTOMATED MESSAGES; (D) REGULATORY FINES OR PENALTIES IMPOSED ON YOU FOR YOUR MISUSE OF THE SERVICE; (E) ANY INTERRUPTION OR UNAVAILABILITY OF INSTAGRAM'S OR OPENAI'S API SERVICES.

10. Indemnification

You agree to indemnify, defend, and hold harmless NovaDream.io, its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your automated messaging campaigns and their content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) claims from third parties (including DM recipients) arising from messages sent via your account; (f) any intellectual property infringement claims arising from AI-generated content sent through your account.

11. Termination

We reserve the right to terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. We will delete your data in accordance with our Privacy Policy retention schedule unless retention is required by law.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED RESPONSES WILL BE ACCURATE, APPROPRIATE, OR LEGALLY COMPLIANT IN YOUR JURISDICTION.

13. Subscription and Billing

Paid subscriptions are billed on a monthly recurring basis through PayPal. Subscription prices and billing frequency are disclosed at the point of purchase. You may cancel your subscription at any time through the Service or by contacting us. Upon cancellation, you retain access until the end of your current billing period. All subscription payments are non-refundable once processed. If you experience a technical issue that prevents you from using the Service, contact our support team within 7 days of the charge for individual evaluation. We reserve the right to modify pricing with 30 days advance notice to active subscribers.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: changes to Meta's Platform Terms or Instagram API; changes to OpenAI's API terms or availability; natural disasters; government actions; internet or telecommunications failures; or cyberattacks.

15. Changes to Terms

We may modify these Terms at any time. We will notify active users of material changes via email or in-app notification at least 30 days before changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree with the revised Terms, you must stop using the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NovaDream.io operates, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
